Nudge Assistant — Terms of Service

These Terms of Service ("Terms") govern your use of Nudge Assistant at nudgeassistant.com and the related email-based service ("Nudge", the "Service").

By creating an account or otherwise using Nudge after agreeing to these Terms, you agree to be bound by them.

If you do not agree with these Terms, do not use Nudge.

1. What Nudge is

Nudge is an email-based digital assistant.

You can Cc, Bcc, forward, or otherwise send emails to your assigned Nudge address.

Nudge may use those messages to:

• understand conversations;
• identify commitments and open items;
• remember relevant context;
• keep track of things that may require attention;
• prepare reminders and briefings;
• respond to your instructions; and
• maintain a working memory of how you prefer to work.

Nudge does not automatically have access to your entire mailbox. It receives only information that is deliberately sent to it or otherwise provided through features you choose to use.

2. Nudge is currently in beta

Nudge is currently a beta service.

During the beta:

• features may change;
• functionality may be added or removed;
• behavior may change as the Service improves;
• parts of the Service may occasionally fail or become unavailable; and
• access may be limited to selected users.

We may modify, suspend, limit, or discontinue beta features where reasonably necessary.

Beta access does not guarantee continued access to the Service.

3. Eligibility

You may use Nudge only if you are legally able to enter into these Terms.

If you use Nudge on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.

4. Your Nudge address

Each user may be assigned a unique Nudge email address.

Nudge addresses may be randomly generated rather than chosen by the user. This helps make active addresses harder to discover or guess and reduces opportunities for spam, spoofing, enumeration, and other abuse.

Your assigned Nudge address is personal to your account and should not be treated as a public mailbox.

If your account is deleted or closed, we may permanently retire your Nudge address rather than reassigning it to another user.

5. Your responsibility for what you send

You choose what information you send to Nudge.

You are responsible for ensuring that you have the right and authority to provide that information to the Service.

This may include:

• emails;
• attachments;
• personal information;
• confidential information;
• customer information;
• employee information;
• business documents; and
• information relating to third parties.

Do not provide information to Nudge if you are not permitted to share or process it.

6. Automated processing

Nudge uses automated systems, including third-party and proprietary large language models and related machine-learning services.

These systems may be used to:

• understand content you provide;
• identify open commitments;
• maintain context;
• classify information;
• generate reminders and briefings;
• prepare summaries or reports;
• respond to instructions; and
• determine when something may deserve your attention.

The specific models, infrastructure, and service providers used by Nudge may change over time.

7. Nudge can make mistakes

Nudge uses automated systems and may occasionally:

• misunderstand a conversation;
• miss something important;
• identify something incorrectly;
• infer the wrong date or timing;
• misunderstand who owns an action;
• surface something too early or too late; or
• generate incomplete or incorrect information.

Nudge is intended to assist your judgment, not replace it.

You remain responsible for decisions and actions taken based on Nudge's output.

8. Do not use Nudge as your only system for critical deadlines

Nudge should not be relied upon as the sole system for tracking:

• legal deadlines;
• regulatory obligations;
• tax deadlines;
• payment obligations;
• medical matters;
• emergencies;
• compliance requirements;
• safety-critical activities; or
• other time-sensitive matters where failure could cause serious harm or loss.

Nudge is an assistant, not a system of record.

9. Communication with third parties

Unless explicitly offered as a separate feature, Nudge is designed to communicate with the user it belongs to.

Nudge does not independently contact clients, suppliers, prospects, colleagues, or other third parties on your behalf.

If this capability changes in the future, additional permissions, safeguards, or terms may apply.

10. Acceptable use

You may not use Nudge to:

• violate applicable law;
• send spam or unsolicited bulk messages;
• harass, threaten, or abuse others;
• impersonate another person or organization;
• distribute malware or harmful code;
• attempt to compromise another user's account;
• probe, enumerate, or systematically guess private Nudge addresses;
• bypass security controls;
• interfere with the operation of the Service;
• obtain unauthorized access to systems or data;
• provide content you have no right to provide; or
• engage in fraudulent or abusive activity.

We may suspend or terminate access where we reasonably believe the Service is being abused or used in a way that threatens other users or the Service.

11. Security

We use reasonable technical and organizational measures designed to protect the Service and user data.

However, no online service can guarantee absolute security.

You are responsible for maintaining the security of the email account associated with your Nudge account.

If you believe your email account or Nudge address has been compromised, contact us promptly.

12. Your content

You retain your rights in emails, documents, and other content you provide to Nudge.

You grant us the rights necessary to process, store, transform, transmit, and otherwise handle that content solely as reasonably necessary to provide, secure, maintain, and improve the Service and to comply with applicable law.

This does not transfer ownership of your content to us.

13. Feedback

During the beta, we may ask you for feedback.

If you provide suggestions, ideas, comments, or feedback about Nudge, you allow us to use that feedback to improve or develop the Service without owing compensation.

You retain any rights you otherwise have in confidential information or underlying content included in that feedback.

14. Pricing

Nudge is currently free during the beta unless otherwise stated.

We may introduce paid plans later.

If pricing changes in a way that affects you, we will provide notice before charging you and obtain any authorization required by applicable law.

15. Usage limits

We may apply reasonable limits to protect the Service from excessive, abnormal, or abusive use.

These limits may relate to:

• message volume;
• attachment size;
• storage;
• automated processing;
• research tasks;
• report generation; or
• other computationally intensive features.

Limits may change as Nudge evolves.

16. Account deletion

You may request deletion of your Nudge account.

Before deleting an account, we may require verification that the request comes from the account owner.

Once deletion is confirmed, we may permanently delete account data including:

• stored messages;
• threads;
• follow-ups;
• preferences;
• profile information;
• remembered context; and
• other account-related data.

Deletion may be irreversible.

Your previous Nudge address may be permanently retired and not reassigned.

17. Suspension or termination

You may stop using Nudge at any time.

We may suspend or terminate access if:

• you violate these Terms;
• your use creates a security or abuse risk;
• your use threatens the operation of the Service;
• suspension is required by law; or
• we discontinue the Service.

Where practical and legally permitted, we will provide reasonable notice.

18. Intellectual property

Nudge and its software, branding, designs, workflows, documentation, and other proprietary materials belong to Aakeeo Technologies Pvt Ltd or its licensors.

These Terms do not transfer ownership of Nudge to you.

19. Third-party services

Nudge may rely on third-party infrastructure and services, including:

• email infrastructure;
• cloud hosting;
• storage providers;
• databases;
• security and monitoring services;
• automated language-processing systems;
• document-processing services; and
• other technology required to operate the Service.

The providers used may change over time.

20. Disclaimer of warranties

To the maximum extent permitted by applicable law, Nudge is provided on an "as is" and "as available" basis.

We do not guarantee that Nudge will:

• always be available;
• detect every follow-up;
• identify every commitment;
• deliver every reminder at the ideal time;
• produce error-free information; or
• meet every user's requirements.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

21. Limitation of liability

To the maximum extent permitted by applicable law, Aakeeo Technologies Pvt Ltd will not be liable for indirect, incidental, special, consequential, or similar losses arising from the use of Nudge.

This may include losses resulting from:

• missed reminders;
• missed deadlines;
• incorrect summaries;
• incorrect classifications;
• reliance on automated output;
• service interruptions; or
• lost business opportunities.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

22. Changes to these Terms

We may update these Terms as Nudge evolves.

If a change materially affects your rights or obligations, we will provide reasonable notice.

Where permitted by law, continued use of Nudge after updated Terms take effect constitutes acceptance of the revised Terms.

23. Governing law and disputes

These Terms are governed by the laws of India, subject to any mandatory rights available to you under applicable law.

Any dispute-resolution procedure, court jurisdiction, or arbitration arrangement should be inserted here after legal review.
